Editorial changes and minor changes are not noted. This overview is based upon the preliminary draft that the Organization and Bylaws (O&B) Committee will consider at Annual Conference. Further changes to the bylaws are likely to occur at Annual Conference prior to consideration by the Board at the final Board meeting on Tuesday, June 29. ASSOCIATION BYLAWS Article II. Object. Changed statement to reflect mission statement passed by Board at Midwinter 1993 meeting. Article V. Meetings. Propose O&B substitute the membership meeting as a forum for action to only allow votes of the entire membership. Drop requirement that the division issue a statement of the principal arguments against a ballot proposal. Article VI. Nominations and Elections. Eliminate officers of the Council of Regional Groups (CRG) as elected Board members, and add to the Budget and Finance (B&F) Committee Chair, Professional Development Committee (PDC) members, and directors-at-large. (Note: recommend O&B consider not making B&F and PDC chairs elected positions.) Article VII. Officers. Delete all references to the chair of CRG as an officer, and add the past president as a named officer. Article VIII. Board of Directors. Delete the following as members of the Board: CRG vice-chair, the journal editor, and the past president (who would be included as a named officer). Allow voting by electronic device without confirmation by mail vote. Article IX. Committees. Remove references to "annual committees" and to "special committees." Add references to focus groups and task FORCES. INDICATE THAT THE PAST PRESIDENT SERVES AS CHAIR OF O&B. DELETE provision for O&B to review each standing Association-level committee every five years, and replace with automatic sunset provisions. Article X. Sections. Require that 200 members (rather than 50) must petition for a new section. ARTICLE XI. REGIONAL GROUPS. DELETE THE ARTICLE ENTIRELY. Article XII. Discussion Groups. Re-title and make editorial changes from "Discussion" to "Focus" groups. Expand scope to include "studying specific topics of interest to the members that fall within the object of the Association," and allow focus groups to develop topical programs and request financial resources from the Board. Provide that focus groups CEASE AFTER THREE YEARS, BUT MAY BE RE-ESTABLISHED ACCORDING TO established procedures. Article XII. Task Forces. This is an entirely NEW ARTICLE with provisions for: establishment (task forces normally exist for no more than three years); composition (normally have at least three members); appointment by the vice-president or the president; term of office (duration of the work of the task force or three years, whichever is less); voting by mail or by electronic device; and, provisions for task forces to transmit their reports. Article XV. Parliamentary Authority. Delete reference to the appointment of a division parliamentarian. Article XVI. Amendments to Bylaws. Sections 1 (Proposals) and 2 (Notice) reflect the wording approved on the Spring 1993 ballot. Section 3 (Voting) changed to comport with sections 1 and 2. ******************************* SECTION BYLAWS In accordance with the OSTF report, the preliminary draft changes would delete all bylaws for the following Sections: Acquisition Section; Cataloging and Classification Section; Collection Management and Development Section; Preservation of Library Materials Section; Reproduction of Library Materials Section; Serials Section. A "generic" set of new bylaws provides for each of the proposed new sections. The remaining articles provide for the relationship of the section to the Association; membership criteria (including members, classification of members, dues, rights and privileges, and membership, fiscal and conference years); meetings (annual, special, regional meetings, and votes by mail or electronic device); nominations and elections; officers (titles, duties, and terms of office); Executive Committee (composition, vacancies, terms of office, officers, powers and duties, meetings, quorum, and voting); other committees (standing committees, intersectional committees, and joint committees, notification, appointments, voting; focus groups (establishment, membership, officers, discontinuance); task forces (establishment, composition, appointments, terms of office, voting, reports); notice by mail; Parliamentary authority; and, amendments to bylaws.
